What We Look at in a Sydney Business Valuation

Monita values businesses and business interests in Sydney for owners, partners, shareholders, accountants and lawyers. The valuation looks at the business as it operates in its market: its earnings history, customers and contracts, assets and debts, and the risks in its industry. Our office is at 1/261 George Street, Sydney, and we confirm at the free consultation how the work will be arranged for your business.

  • Owner-operated and family businesses
  • Professional practices, such as medical, legal and accounting practices
  • Hospitality, food and beverage businesses
  • Retail and franchise businesses
  • Technology and IP-rich businesses
  • Shares and partnership interests in private companies
02

Business Valuation Methods

The right method depends on the business and the purpose of the valuation. We apply income, market and asset-based approaches as appropriate, in line with APES 225 and the International Valuation Standards, and the report explains which method was used and why.

Timing depends on the scope and how quickly records are provided. We confirm a timeline and fee before work starts and keep you updated throughout.

  • Income approach: values the business on the earnings or cash flows it is expected to generate, for example by capitalising maintainable earnings or discounting future cash flows. Often used for trading businesses with a profit history.
  • Market approach: compares the business with similar businesses or transactions, using multiples drawn from market evidence. Useful where reliable comparable sales exist.
  • Asset-based approach: values the net assets of the business, adjusted to market value. Common for asset-heavy businesses, holding structures and wind-downs.

What Is a Business Valuation?

A business valuation is an independent opinion of what a business, or an interest in it such as shares or a partnership share, is worth at a particular date and for a particular purpose. It is different from a broker's estimate or an accountant's quick rule of thumb: the report sets out the information relied on, the method used, the assumptions made and the reasoning, so the figure can be explained to a buyer, a lender, the tax office or a court.

04

Why Owners and Advisers Ask for a Business Valuation

Business valuations are most often needed to:

  • Sell, buy or merge a business and agree a fair price
  • Set a buy-sell price between partners or shareholders, or settle a shareholder dispute
  • Divide assets in a family law property settlement
  • Support tax planning, succession and estate matters
  • Allocate the purchase price after an acquisition, or report fair value in the accounts
  • Support a loan, a restructure or an insolvency process
05

What Affects the Value and the Fee

The value depends mainly on the profit the business can reliably keep earning, how dependent it is on its owner, its assets and debts, customer and contract strength, and the risks in its industry. The fee depends on the size and complexity of the business, the purpose of the report and how organised the records are. We give a firm fee estimate after the free consultation, before any work begins.

FAQ

Business Valuation FAQs

When do I need a business valuation?

Common triggers are the sale or purchase of a business, mergers and acquisitions, shareholder or partnership disputes, family law settlements, tax planning, financial reporting, insolvency and litigation.

How much does a business valuation cost?

The fee depends on the size and complexity of the business, the purpose of the report and how complete the records are. Every initial consultation and quote is free, and you receive a firm fee estimate before any work begins.

How long does a business valuation take?

It depends on the scope and how quickly the financial records are provided. We confirm a timeline at the start and keep you updated, and urgent matters can be discussed at the free consultation.

Do you value businesses in Sydney?

Yes. Monita is based at 1/261 George Street, Sydney, and values businesses in Sydney. We confirm at the free consultation how the work will be arranged for your business.

What is the difference between a business valuation and a business appraisal?

In everyday use the two terms mean the same thing: an independent opinion of what a business is worth. A formal written valuation sets out the method, assumptions and reasoning so it can be relied on by buyers, lenders, advisers and courts.

Which valuation methods do you use?

Income, market and asset-based approaches, applied as appropriate to the business and the purpose, in line with APES 225.

What information do you need?

Typically several years of financial statements, management accounts and tax returns, details of key contracts, assets and liabilities, and the purpose and date of the valuation. We confirm the list at the free consultation.

Will a buyer, bank, the ATO or my accountant accept the report?

We prepare the report for the stated purpose, in line with APES 225 and International Valuation Standards. Requirements differ, so tell us the purpose and who will receive it and we will confirm before we start.

Can the report be used in family law or court matters?

Our expert reports are prepared to the standards required for use as expert evidence in Australian courts and tribunals, and our principal has acted as an independent expert.

How does the owner's role affect the value of a business?

The more a business depends on its owner, the more risk a buyer sees. The valuer considers how much of the earnings rely on the owner and takes that into account in the approach and the risk assessment.

Can you value shares or a partnership interest?

Yes. We value shareholder and partnership interests, including minority interest discounts, and choose the approach that fits the business and the purpose.

Is the valuation confidential?

Yes. Your enquiry and your valuation are kept confidential.
